Welcome to SnapSort AI (the "App"), a mobile application provided by Pshichenko Enterprises Inc. ("Pshichenko Enterprises," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our App and any related services, features, content, or applications (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy (available at snapsortai.com/privacy-policy.html). If you do not agree to these Terms, do not use the Service.
SnapSort AI is a mobile application designed to help users catalog, organize, and manage items within physical containers (referred to as "Totes") using QR codes, manual data entry, and artificial intelligence (AI) powered features. Key functionalities include creating and managing Totes, adding items with descriptions and images (manually or via AI processing), inviting other users to collaborate within Workspaces, searching for items, and managing item statuses (e.g., available, borrowed). The Service may also offer for purchase AI credits, digital QR code PDFs, and physical QR code stickers.
A. Eligibility: You must be at least 13 years old to use the Service. If you are making purchases through the Service, you must be at least 18 years old or have the permission of a parent or legal guardian.
B. Registration: You must register for an account to access most features of the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
C. Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. We encourage you to use a strong password (long, unique, and including a mix of uppercase letters, lowercase letters, numbers, and symbols). You agree to notify us immediately at support@snapsortai.com of any unauthorized use of your account.
A. Ownership: You retain all ownership rights to the content you create or upload to the Service, including but not limited to tote names, item descriptions, tags, and images ("User Content").
B. License to Us: By submitting, posting, or displaying User Content on or through the Service, you grant Pshichenko Enterprises Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify (e.g., resize images, process images for AI features), adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content solely in connection with operating, providing, and improving the Service for you and for other users within your shared Workspaces (if applicable).
C. Responsibility for User Content: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that: (i) you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize us to use your User Content as described in these Terms; and (ii) your User Content, and our use of your User Content as contemplated by these Terms, does not and will not: (a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (c) cause us to violate any law or regulation.
D. Our Right to Remove Content: We reserve the right, but are not obligated, to remove or disable access to any User Content, at any time and without prior notice, for any reason or no reason, including User Content that we, in our sole discretion, consider to be objectionable or in violation of these Terms.
A. AI Credits and Digital QR Code PDFs (In-App Purchases): Purchases of AI credits and digital QR code PDFs are processed through the Apple App Store or Google Play Store ("App Stores") and are subject to their respective terms and conditions and payment policies. All such sales are generally considered final, and we do not offer refunds except as may be required by the App Stores or applicable law. AI credits are consumed when you use AI-powered features (e.g., AI item cataloging) at the rates specified within the App.
B. Physical QR Code Stickers (Stripe): Purchases of physical QR code stickers are processed through Stripe, a third-party payment processor. By making such a purchase, you agree to Stripe's terms of service and privacy policy. Prices for physical products are listed in the App and are subject to change. Applicable taxes and shipping costs will be added to your order total at checkout. You are responsible for providing accurate shipping information. We currently only ship physical products to addresses within the United States of America.
C. Email for Digital PDF Delivery: For purchases of digital QR code PDFs, you are responsible for providing a valid email address for delivery. We are not responsible for non-delivery due to an incorrect email address provided by you.
D. Pricing: All prices are subject to change without notice.
The Service may utilize third-party artificial intelligence services, such as OpenAI, to provide features like automatic item tagging and description generation from images. When you use these features:
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Pshichenko Enterprises Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
You agree not to engage in any of the following prohibited activities:
If you are an owner or co-owner of a Workspace, you are responsible for managing members and their assigned roles. When you invite users to a Workspace or accept an invitation to join one, you understand that User Content and certain account information within that Workspace will be visible to other members of that Workspace, according to the permissions associated with their roles.
A. By You: You may terminate your account at any time by following the account deletion procedures within the App (e.g., through Workspace closure if you are the sole owner and member of all your workspaces) or by contacting us at support@snapsortai.com.
B. By Us: We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, if we believe, in our sole discretion, that you have violated these Terms.
C. Effect of Termination: Upon termination, your right to use the Service will immediately cease. If your account is terminated, we may, in our sole discretion, delete your User Content and account information, subject to our data retention practices outlined in our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PSHICHENKO ENTERPRISES INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE (INCLUDING AI-GENERATED CONTENT) WILL BE ACCURATE OR RELIABLE; OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PSHICHENKO ENTERPRISES INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNTS PAID BY YOU TO US FOR ACCESS TO OR USE OF THE SERVICE IN THE LAST TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
You agree to defend, indemnify, and hold harmless Pshichenko Enterprises Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content posted on the Service.
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Arbitration: You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Service (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right: (i) to bring an individual action in small claims court and (ii) to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect, except as modified by this "Dispute Resolution" section. The Federal Arbitration Act will govern the interpretation and enforcement of this section.
YOU ACKNOWLEDGE AND AGREE THAT YOU AND PSHICHENKO ENTERPRISES INC. ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Notification of changes may be provided via email to the address associated with your account, through an in-app notification, or by posting the updated Terms within the App or on our website (snapsortai.com). By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
